CG Power and Industrial Solutions has entered the semiconductor design industry by acquiring the Radio Frequency components business from Renesas Electronics.
CG Power and Industrial Solutions Limited, known as CG, is a leading company in the electrical engineering sector and a part of the Murugappa Group, a diversified conglomerate in India. CG has recently announced its intention to acquire the Radio Frequency (RF) components business from Renesas Electronics Corporation, a global supplier of advanced semiconductor solutions, including microcontrollers, analogue devices, power management systems, and system-on-chip products. This strategic move is set to enhance CG’s position in the semiconductor industry and expand its technological capabilities.
On October 4, 2024, CG Power and Industrial Solutions Limited formalised an asset purchase agreement with Renesas Electronics America Inc., a subsidiary of Renesas Electronics Corporation based in the United States. The agreement also involves other affiliated entities that hold assets related to the RF components business. This acquisition is subject to customary closing conditions and regulatory approvals from relevant authorities in the jurisdictions involved. Upon fulfilment of these conditions, the RF components business will be transferred to new entities that will be established by CG specifically for this purpose, ensuring a smooth transition of operations and assets.
The scope of the acquisition is comprehensive, including the transfer of Intellectual Property (IP) rights associated with the RF components. This IP is crucial for the development, manufacturing, and commercialisation of RF products. Additionally, the acquisition encompasses tangible assets such as manufacturing equipment, research and development facilities, and other physical assets integral to the RF components business. A select group of employees specialising in semiconductor design, marketing, and application engineering related to RF components will also join CG. This transfer of skilled personnel is intended to maintain continuity in expertise and to support ongoing projects without disruption.
Vellayan Subbiah, the Chairman of CG Power and Industrial Solutions Limited, expressed that this acquisition is a strategic initiative aimed at strengthening India’s role in the global semiconductor design and development industry. He highlighted that the semiconductor sector is experiencing rapid growth and offers significant potential for innovation and economic development. By integrating the RF components business into its operations, CG aims to enhance its technological capabilities, foster innovation, and contribute to the advancement of the semiconductor industry within India and on the global stage.
Davin Lee, the Senior Vice President and General Manager of the Analog and Connectivity Group at Renesas Electronics Corporation, commented on the agreement by noting that the transition of the RF components business to CG will allow the RF team to expand under new leadership. He emphasized that CG will provide the necessary support to ensure a seamless transition for both employees and customers. This strategic divestiture will enable Renesas to sharpen its focus on its core strategic segments within the analogue and connectivity business. By concentrating on these areas, Renesas aims to better meet customer demands and drive innovation in sectors where it has established strengths.
The acquisition represents a significant development in the semiconductor industry, marking a collaborative effort between two major players to realign their business strategies for mutual benefit. CG’s expansion into the RF components sector is expected to enhance its product offerings and market reach, while Renesas can concentrate resources on its strategic priorities. The successful completion of this acquisition is anticipated to have a positive impact on the semiconductor landscape, fostering growth, innovation, and increased competitiveness in the industry.
